Small Business Relief in UAE Corporate Tax

Small Business Relief (SBR) in UAE Corporate Tax

For small businesses and start-ups in the UAE, managing Corporate Tax can add to the challenges of running a business. Small Business Relief (SBR) offers eligible businesses a way to reduce their tax and compliance burden.

Introduced under Article 21 of the UAE Corporate Tax Law and detailed in Ministerial Decision No. 73 of 2023, SBR allows qualifying businesses to be treated as having no taxable income for the relevant tax period.

For 2026, the UAE Ministry of Finance has extended SBR to tax periods ending on or before 31 December 2029, while retaining the AED 3 million revenue threshold.

However, SBR is not automatic. Businesses must meet the eligibility requirements, make the required election, and maintain proper records.

Small Business Relief Extension: What Changed in 2026?

The UAE Ministry of Finance announced in August 2026 that Ministerial Decision No. 131 of 2026 extends the period for claiming Small Business Relief to tax periods ending on or before 31 December 2029.

The AED 3 million revenue threshold continues to apply under the amended framework.

This extension gives eligible small businesses and start-ups more time to benefit from the relief, provided they continue to meet the relevant conditions.

What is Small Business Relief (SBR) Under Ministerial Decision No. 73?

Small Business Relief (SBR) is a UAE Corporate Tax relief available to qualifying UAE resident businesses. If an eligible business elects SBR and meets the required conditions, it is treated as having no taxable income for that tax period.

Introduced under Ministerial Decision No. 73 of 2023, SBR includes a revenue threshold and other eligibility conditions. In August 2026, Ministerial Decision No. 131 of 2026 extended the relief period through the end of 2029.

For businesses checking their Small Business Relief eligibility, revenue is one of the first factors to consider, not just profit.

Why Do Small Businesses Pay Attention to SBR?

Why Do Small Businesses Pay Attention to SBR?

For eligible UAE businesses, Small Business Relief (SBR) can reduce Corporate Tax obligations and support better financial planning. Understanding its benefits and eligibility helps small businesses manage their tax responsibilities effectively.

  • Reduces Corporate Tax liability

Small businesses that qualify for Small Business Relief (SBR) can benefit from significant tax relief. Instead of paying Corporate Tax taxable income, the business may be treated as having no taxable income for the relevant tax period.

  • Helps with financial planning

Understanding SBR allows business owners to estimate their tax obligations more accurately and plan their budgets, expenses, and investments accordingly.

  • Supports cash-flow management

For an eligible small business, relief can help retain more funds within the business. These funds can be used for operating expenses, hiring, expansion, or other business needs.

  • Created for qualifying small businesses

SBR is specifically relevant to UAE resident businesses that meet the prescribed conditions. It gives qualifying smaller businesses an opportunity to manage their Corporate Tax obligations more effectively.

  • Simplifies the tax position

When SBR is validly elected, the business is treated as having not derived taxable income for that tax period. This can make the Corporate Tax position easier to understand and manage.

  • Eligibility is important

SBR is not automatically available to every small business. Businesses need to check the applicable revenue threshold, residency requirements, and other conditions before making the election.

  • Not simply a 0% Corporate Tax rate

SBR works differently from applying a lower tax rate. An eligible business that elects SBR is treated as having no taxable income for the relevant period, subject to the applicable rules.

How SBR Relieves You from Transfer Pricing & Complex Tax Calculations?

Another important benefit is that businesses electing SBR generally do not have to maintain Transfer Pricing documentation for the relevant period.

However, this does not mean transfer pricing rules completely disappear. The FTA states that businesses must still comply with the arm’s length of principle.

For a small business, this can make Corporate Tax compliance considerably easier, particularly when the business does not have complicated group structures or extensive related-party transactions.

Who Can Claim Small Business Relief?

The key eligibility test is the AED 3 million revenue threshold.

A UAE resident taxable person can generally elect SBR if its revenue does not exceed AED 3,000,000 in the relevant tax period and applicable to previous tax periods. The threshold is based on revenue, not taxable profit.

There are also other conditions. For example, SBR is not available to:

  • A Qualifying Free Zone Person (QFZP)
  • A member of a multinational enterprise group with consolidated revenue exceeding AED 3.15 billion
  • A person that does not meet the applicable resident-person requirements

The revenue test also applies across relevant tax periods. Simply staying below AED 3 million in the current year may not be enough if the business exceeded the threshold in an applicable previous period.

Does SBR Apply to Free Zone and Mainland Companies?

SBR is not limited only to mainland businesses.

A mainland company may qualify if it meets the relevant conditions. However, a Qualifying Free Zone Person cannot elect for SBR.

Therefore, Free Zone businesses should review their Corporate Tax status carefully. Being established in a Free Zone does not, by itself, mean that SBR is available.

Review the company’s status, revenue, and other eligibility conditions before making the election.

How to Claim Small Business Relief?

How to Claim Small Business Relief?

SBR is not automatically applied simply because your revenue is below AED 3 million.

The business must make the appropriate election when filing its Corporate Tax return for the relevant tax period. The FTA’s Corporate Tax return guidance confirms that eligible taxpayers can select the SBR election within the return.

How to Elect SBR on the EmaraTax Portal?

Businesses can manage their Corporate Tax registration and return filing through the FTA’s EmaraTax platform.

The general process involves:

  1. Log in to EmaraTax using the business’s registered credentials.
  1. Access the Corporate Tax return for the relevant tax period.
  1. Review the revenue and eligibility information shown in the return.
  1. Select the Small Business Relief election if the business meets the applicable conditions.
  1. Complete the required return information and check the figures carefully.
  1. Submit the Corporate Tax return within the applicable deadline.

Note: The exact fields displayed can depend on the taxpayer’s circumstances and eligibility. Businesses should therefore review the return carefully rather than assuming that the relief will be applied automatically.

Step-by-Step Claim Process for Small Business Relief

Before making the election, it helps to work through the following checklist:

Step 1: Check your residency status

Confirm that the business meets the requirements to be treated as a Resident Person for UAE Corporate Tax purposes.

Step 2: Review your revenue

Check whether revenue is within the AED 3 million threshold for the relevant and applicable previous tax periods.

Step 3: Check your business structure

Make sure the business is not a Qualifying Free Zone Person or part of a multinational enterprise group that falls within the exclusion.

Step 4: Review your financial records

Support your revenue figures with proper accounting records and documentation.

Step 5: Make the SBR election

Choose the relevant SBR option when completing the Corporate Tax return through EmaraTax.

Step 6: Submit the return on time

SBR does not remove the requirement to file a Corporate Tax return. The FTA has specifically reminded eligible taxpayers that simplified returns must still be submitted within the prescribed legal timeframe.

What Records Should You Keep?

A common misconception is that businesses do not need proper accounts after opting for Small Business Relief (SBR). However, this is not the case.

Businesses should continue maintaining proper books, financial records, and supporting documents. SBR may simplify Corporate Tax compliance, but it does not remove record-keeping obligations. The FTA still requires taxpayers to maintain records supporting their tax position.

Depending on the business, useful records may include:

  • Sales invoices
  • Purchase invoices
  • Bank statements
  • Accounting records
  • Financial statements
  • Business contracts
  • Revenue calculations
  • Corporate Tax registration details
  • Documents supporting related-party transactions, where applicable

Pro Tip: Good bookkeeping also makes it much easier to determine whether the business remains within the SBR threshold.

What Businesses Need to Know Before Choosing SBR?

SBR also comes with certain tradeoffs. When a business elects SBR, some Corporate Tax provisions may not apply for that tax period. For instance, tax losses cannot be accrued, used, or transferred during the SBR period.

Other exemptions, reliefs, and deductions may also be unavailable when SBR is elected. Therefore, businesses should look beyond the benefit of zero taxable income and consider how SBR may affect their overall Corporate Tax position.

What are the Implications of Small Business Relief on Other Tax Rules?

SBR is a Corporate Tax relief and does not exempt a business from other UAE tax or regulatory obligations.

For example, businesses that meet the relevant VAT registration requirements must continue to comply with VAT separately. They must also maintain their licensing, accounting, and record-keeping requirements.

SBR does not remove all Corporate Tax obligations either. Eligible businesses must still register where required, elect for SBR and file their Corporate Tax return within the applicable deadline.
